Terms of Service

1. Eligibility and Account Registration

You must be legally able to enter a binding agreement in your jurisdiction. If you use the Services on behalf of an organization, you represent you have authority to bind that organization.

• You must provide accurate account information and keep it current.
• You are responsible for safeguarding your account credentials.
• You are responsible for all activities that occur under your account.

2. Services and Product Scope

MemoriesPlus provides tools to create and organize memories/notes, upload resources, generate study content, and interact with AI models. Features may evolve over time.

We may add, remove, or modify features, model providers, limits, and technical behavior to improve safety, reliability, cost management, or legal compliance.

3. AI Features and Output

AI outputs may be incorrect, incomplete, or inappropriate for your specific use case. You are responsible for reviewing outputs before relying on them.

• AI output is provided "as is" and is not guaranteed to be accurate.
• Do not treat AI output as legal, medical, financial, or other regulated professional advice.
• You remain solely responsible for decisions, actions, and content created or shared using AI output.

4. Your Content and License

You retain ownership of content you submit, including text, files, images, and prompts ("User Content").

You grant MemoriesPlus a non-exclusive, worldwide, royalty-free license to host, process, store, transmit, and display User Content only as needed to provide, secure, and improve the Services.

You represent that you have the rights necessary to upload and process User Content and that your use does not violate laws or third-party rights.

5. Acceptable Use and Safety

You must use the Services lawfully. These acceptable use rules apply to all accounts, content, and AI interactions on MemoriesPlus.

• You may not use the Services to violate law, regulations, or third-party rights.
• You may not upload, generate, store, or share content that is illegal, fraudulent, defamatory, or infringes intellectual property rights.
• You may not upload content containing non-consensual sexual content, exploitative content, or abuse material.
• You may not use the Services to promote violence, terrorism, self-harm, or instructions for serious harm.
• You may not use the Services for harassment, stalking, hate abuse, or targeted intimidation.
• You may not attempt unauthorized access to accounts, data, or systems, or interfere with platform integrity, performance, or availability.
• You may not upload malware, exploit vulnerabilities, bypass technical protections, abuse limits, spam endpoints, or scrape restricted data.
• You may not use AI features to generate instructions for criminal activity, phishing, impersonation, credential theft, social engineering, or scalable deception.
• Do not upload personal data you do not have permission to process. You are responsible for obtaining required consents and legal basis for data you submit.

We may investigate suspected violations and take actions including content removal, feature restrictions, account suspension, termination, and reporting to authorities where legally required.

6. Plans, Billing, and Auto-Renewal

Plan pricing, included usage, and feature limits are presented in-product and may change over time. By subscribing, you authorize recurring charges for your selected plan and any applicable taxes.

Paid subscriptions renew automatically at the end of each billing period unless canceled before renewal. Charges are billed in advance.

• Payments are processed by third-party providers; we do not store full payment card details.
• You are responsible for keeping payment details accurate and up to date.
• We may update plan prices, quotas, or included features. Material pricing changes apply from a future renewal date unless law requires otherwise.
• You can cancel in account settings. Cancellation stops future renewals, and paid access generally continues through the current paid period.
• Except where required by law, fees are non-refundable for partial billing periods, unused time, or reduced usage.
• If a charge fails, we may retry billing and/or downgrade, suspend, or limit paid features until payment is successful.
• Prices may exclude taxes unless stated otherwise. You are responsible for applicable taxes, levies, or duties associated with your subscription.

7. Copyright and Takedown Procedure

MemoriesPlus respects intellectual property rights and responds to valid copyright complaints. If you believe content on the Services infringes your copyright, submit a notice including:

• Your full legal name and contact details (email, address, and phone if available).
• Identification of the copyrighted work claimed to be infringed.
• Identification of the specific content/location to remove (URL and description).
• A statement of good-faith belief that use is not authorized.
• A statement, under penalty of perjury, that the notice information is accurate.
• Your physical or electronic signature.

If your content was removed and you believe it was removed by mistake or misidentification, you may submit a counter-notice including your contact details, identification of removed content, a statement under penalty of perjury, consent to applicable legal jurisdiction where required by law, and your physical or electronic signature.

We may suspend or terminate accounts of repeat infringers in appropriate circumstances. Submitting knowingly false notices or counter-notices may result in legal liability and/or account enforcement action.

8. Suspension and Termination

We may suspend or terminate access if needed for safety, legal compliance, abuse prevention, unpaid charges, or violation of these Terms.

You may stop using the Services at any time. If your account is terminated, certain data may persist as required for legal, security, backup, billing, audit, or fraud-prevention purposes.

9. Availability and Changes

We do not guarantee uninterrupted or error-free operation. Downtime may occur for maintenance, upgrades, incidents, provider outages, or external dependencies.

We may set or adjust usage limits, throttles, and quotas to preserve service quality and manage costs.

10. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and availability.

11. Limitation of Liability

To the maximum extent permitted by law, MemoriesPlus and its affiliates, officers, employees, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business interruption.

Our aggregate liability for claims arising out of or relating to the Services is limited to the greater of (a) amounts you paid us in the 12 months before the claim, or (b) NZD $100.

12. Indemnity

You agree to defend, indemnify, and hold harmless MemoriesPlus from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Services, or your violation of these Terms or applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of New Zealand, excluding conflict of laws rules, unless mandatory consumer law in your jurisdiction requires otherwise.

You and MemoriesPlus agree to first attempt to resolve disputes informally by contacting support@memoriesplus.net.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means.

Continued use of the Services after updated Terms become effective means you accept the updated Terms.
